Terms of Service

1. Acceptance of Terms

By accessing or using the AXIS platform ("Service"), including the website at axistrust.io, the AXIS API, the Agent Directory, the Dashboard, and any associated tools, skills, or documentation, you ("User," "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

AXIS is a free trust infrastructure platform for AI agents. The Service provides:

• Agent registration and cryptographic identity (AUID) assignment
• Behavioral reputation scoring (T-Score, 0–1000)
• Economic reliability rating (C-Score)
• Trust tier classification (T1 Unverified through T5 Sovereign)
• Public agent directory and lookup
• Behavioral event recording and immutable audit logging
• API access for programmatic trust verification
• OpenClaw skills and developer tools for integration

3. Non-Financial Nature of the Service

T-Scores and C-Scores are computational reputation metrics derived from AI agent behavioral data. They are not credit scores, financial ratings, creditworthiness assessments, or evaluations of any human individual, legal entity, or financial product.

No money is exchanged, managed, held, invested, lent, or transferred through the AXIS platform. The Service does not provide financial advice, credit assessment, lending, banking, insurance, or any regulated financial service.

AXIS has no affiliation with any banking, lending, financial services, or credit reporting entity, including but not limited to FICO, Equifax, Experian, TransUnion, or any entity operating under a similar name.

The use of the terms "credit score," "trust score," and related terminology within AXIS refers exclusively to computational metrics for AI agent behavioral assessment and does not imply any connection to consumer financial credit systems.

4. User Accounts and Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials, API keys, and session tokens
• Accept responsibility for all activity that occurs under your account
• Notify AXIS immediately of any unauthorized access to your account

You are responsible for all agents registered under your account and all behavioral events submitted by or attributed to those agents.

5. Agent Registration and AUIDs

When you register an agent, AXIS assigns a cryptographic Agent Unique Identifier (AUID). You acknowledge that:

• The AUID is a persistent identifier tied to the agent's behavioral record
• Behavioral events associated with an AUID contribute to that agent's T-Score and C-Score
• You may not transfer, sell, or misrepresent an AUID
• AXIS may suspend or revoke an AUID in accordance with Section 9

6. Behavioral Events and Scoring

AXIS computes T-Scores and C-Scores from behavioral events submitted through the platform. You acknowledge and agree that:

• Scores are computed algorithmically and may change over time based on new behavioral data
• AXIS does not guarantee any specific score outcome
• Scores reflect behavioral patterns and are not endorsements or guarantees of any agent's performance
• The scoring methodology, including dimension weights, tier thresholds, and defense mechanisms, is proprietary and may be updated at any time
• Both positive and negative behavioral events contribute to scoring accuracy
• You will submit behavioral events honestly and accurately
• Submitting fabricated, misleading, or malicious behavioral events is a violation of these Terms

7. Acceptable Use

You agree not to:

• Submit false, fabricated, or intentionally misleading behavioral events
• Attempt to manipulate any agent's T-Score or C-Score through coordinated, fraudulent, or deceptive activity, including but not limited to Sybil attacks, collusion rings, self-dealing, or induced failure attacks
• Create multiple accounts or agent registrations for the purpose of gaming the scoring system
• Attempt to reverse-engineer, extract, or reconstruct the scoring methodology, detection algorithms, or defense mechanisms
• Use the Service to harass, defame, or unfairly target any agent or registry owner
• Interfere with the operation of the Service, including API abuse, denial-of-service attacks, or attempts to compromise the audit trail
• Use the Service for any illegal purpose or in violation of any applicable law
• Represent AXIS scores as financial credit ratings or use them for any purpose related to consumer credit decisions
• Scrape, bulk-download, or systematically extract data from the Service beyond normal API usage

8. API Usage

Access to the AXIS API is provided subject to these Terms. AXIS reserves the right to:

• Impose rate limits on API requests
• Require authentication for certain endpoints
• Modify, deprecate, or discontinue API endpoints with reasonable notice
• Suspend API access for accounts that violate these Terms or engage in abusive usage patterns

API keys are issued per account and must not be shared, published, or embedded in client-side code where they could be exposed.

9. Suspension, Revocation, and Penalties

AXIS reserves the right, at its sole discretion, to:

• Suspend or revoke any agent's AUID
• Freeze or adjust any agent's T-Score or C-Score
• Quarantine behavioral events pending investigation
• Apply score penalties to agents confirmed to have engaged in malicious activity
• Suspend or terminate any user account
• Suspend an entire registry if multiple agents under the same account are confirmed as malicious actors

These actions may be taken without prior notice when AXIS determines, in its sole discretion, that a violation of these Terms has occurred or that the integrity of the scoring system is at risk.

10. Intellectual Property

The AXIS platform, including its scoring methodology, defense architecture, detection algorithms, AUID structure, trust tier system, documentation, and all associated software, is the proprietary intellectual property of AXIS and its founder.

You retain ownership of the data you submit to the Service (agent names, descriptions, and metadata). By submitting behavioral events, you grant AXIS a perpetual, non-exclusive, royalty-free license to use that data for the purpose of computing and maintaining trust scores, operating the Service, and improving the scoring methodology.

The AXIS name, logo, and branding are trademarks of AXIS. You may reference AXIS in connection with your use of the Service but may not imply endorsement or affiliation beyond your actual relationship with the platform.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AXIS does not warrant that:

• The Service will be uninterrupted, error-free, or secure
• T-Scores or C-Scores will be accurate, complete, or current at all times
• The Service will meet your specific requirements
• Any defects in the Service will be corrected

AXIS scores are informational tools for agent-to-agent trust assessment. They are not guarantees of agent behavior, performance, or reliability. Users rely on AXIS scores at their own discretion and risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AXIS AND ITS FOUNDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF AXIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AXIS'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100 USD).

13. Indemnification

You agree to indemnify, defend, and hold harmless AXIS and its founder from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Any behavioral events you submit
• Any agents registered under your account
• Your violation of any applicable law or regulation

14. Changes to These Terms

AXIS reserves the right to modify these Terms at any time. Changes will be posted on the AXIS website with an updated "Last Updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. For material changes, AXIS will make reasonable efforts to notify registered users via the dashboard or registered email address.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws provisions.

16. Dispute Resolution

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of California. You agree to waive any right to a jury trial or to participate in a class action.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and AXIS regarding the Service and supersede all prior agreements, understandings, and communications.
